Important Medical Disclaimer

OncoChat provides an AI-driven oncology support and educational platform. We are not a medical provider and do not offer diagnosis or treatment. For medical concerns, consult a licensed clinician. In an emergency, call your local emergency number (e.g., 911 in the U.S.).

1. Acceptance of Terms

These Terms govern your access to and use of OncoChat's websites, mobile apps, APIs, and SMS/WhatsApp or similar messaging channels (collectively, the "Service"). By creating an account, using the Service, or clicking "I agree," you accept these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Eligibility & Accounts

You must be 18 years or older (or the age of majority where you live) to use the Service unless enrolled through a clinician-managed program or a parent/guardian-approved account where permitted by law. You are responsible for your account credentials and for all activities under your account. Keep your information accurate and current and notify us of unauthorized use.

3. The Service & Beta Features

OncoChat provides AI-assisted tools to ingest user input (e.g., text, images, lab summaries), connect to wearables/health data sources (e.g., Apple Health, Google Fit, Oura, WHOOP), and return assistive insights, reminders, and educational content. Certain features may be identified as beta/experimental/preview; these are provided "as is," may change or be withdrawn, and may be subject to additional terms.

4. Privacy, Security & Compliance (HIPAA/GDPR/CCPA & SMS/TCPA)

Our Privacy Policy describes our practices and is incorporated into these Terms.

HIPAA: If we provide the Service to or on behalf of a U.S. covered entity/business associate and receive Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) and safeguard PHI per 45 C.F.R. Part 164. For direct-to-consumer use, HIPAA may not apply to our handling of your data, but we still implement strong administrative, technical, and physical safeguards.

GDPR/UK GDPR/Swiss FADP: For EU/EEA/UK/Swiss users, we identify whether we act as controller (direct-to-consumer) or processor (enterprise/clinical sponsor). Where required, we execute a Data Processing Agreement (DPA) including EU Standard Contractual Clauses (SCCs), UK IDTA/Addendum, and Swiss Addendum for cross-border transfers.

CCPA/CPRA: For California residents, we provide required notices and honor "Do Not Sell or Share" choices for personal information used for cross-context behavioral advertising. We do not sell personal information for monetary consideration. We honor Global Privacy Control (GPC) signals where required. We do not use PHI or sensitive health data for targeted advertising.

SMS/TCPA & Email: By providing a phone number or email, you consent to receive automated messages relevant to the Service (e.g., reminders, verification codes). Message & data rates may apply. Message frequency varies. Text STOP to end; HELP for help. Delivery is not guaranteed. Carriers are not liable for delayed/undelivered messages. We comply with applicable anti-spam laws (e.g., CAN-SPAM, CASL, PECR).

5. User Data, Ownership & License Grant

User Data: "User Data" means content you upload or connect (e.g., text, images, lab values, wearable/device data), plus metadata you generate through use of the Service.

Ownership: You retain ownership of your raw User Data.

Your License to Sifnos: You grant Sifnos a worldwide, perpetual (where permitted by law), irrevocable (where permitted), transferable, sublicensable, royalty-free license to use, reproduce, host, store, process, adapt, modify, translate, create derivative works from, analyze, publish, and display User Data to provide, maintain, secure, and improve the Service; develop new features and services; and train, evaluate, and tune models and algorithms.

6. AI/ML Use of Data; Model Outputs

Training & Improvement: Subject to Section 5, we may use User Data (de-identified where required) to train, fine-tune, evaluate, and improve our models and services, and to build derived models and analytics. Sifnos owns such derived models, model weights, insights, and aggregate statistics.

Outputs May Be Inaccurate: AI outputs may be incomplete, incorrect, or outdated and should be reviewed by a clinician. You are responsible for how you use outputs.

No Exclusivity: Similar inputs may be provided by others; outputs are not guaranteed to be unique.

Feedback: You assign to Sifnos all rights in feedback/suggestions about the Service; if assignment fails, you grant us the license in Section 5.

7. International Data Transfers

We may process data in the U.S. and other countries where we or our subprocessors operate. For restricted transfers, we rely on appropriate safeguards (e.g., SCCs, UK IDTA/Addendum, Swiss Addendum). Where applicable, we conduct transfer risk assessments and implement supplementary measures.

8. Acceptable Use

You will not: (a) misuse the Service or violate law; (b) upload unlawful, infringing, or harmful content; (c) submit third-party health data without proper authority/consent; (d) attempt to reverse engineer or extract model weights/source code; (e) interfere with security or access non-public areas; (f) use outputs to make automated clinical decisions without appropriate human oversight; (g) use the Service to develop competing models in violation of these Terms.

9. Payment & Billing (if applicable)

If we offer paid features:

Subscriptions: Plans auto-renew until canceled. Pricing, taxes, and renewal terms will be disclosed at checkout.
Trials & Refunds: Trials convert to paid unless canceled. Unless required by law or our posted policy, fees are non-refundable.
Chargebacks: Unfounded chargebacks may result in suspension.
Changes: We may change prices upon notice for the next term.

10. Intellectual Property

The Service, software, documentation, websites, models (including trained/derived models and weights), prompts, fine-tunes, analytics, and all related IP are owned by Sifnos or its licensors and protected by law. No rights are granted except as expressly stated. Do not remove proprietary notices.

11. Medical & Safety Disclaimer

OncoChat provides informational tools only. We do not provide diagnosis, treatment, or prescriptions. We are not a substitute for professional medical advice. We do not handle emergencies. Always consult a licensed clinician.

12. Disclaimers; Limitation of Liability

AS IS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND (INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR AVAILABILITY).

LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIFNOS AND ITS AFFILIATES/LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD, OR $100 IF YOU PAID NOTHING.

13. Indemnification

You will defend, indemnify, and hold harmless Sifnos and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Data; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

14. Governing Law; Arbitration; Class Action Waiver

Law & Venue: These Terms are governed by the laws of the State of Wyoming, excluding conflicts principles. For users in the U.S., disputes are resolved by binding arbitration as below; either party may seek injunctive relief or small-claims relief in Sheridan County, Wyoming or your county of residence, without waiving arbitration.

Arbitration: Any dispute arising from these Terms or the Service will be resolved by final, binding arbitration under the AAA Consumer Arbitration Rules before a single arbitrator. Arbitration may be held remotely by video or in a mutually agreed location. The Federal Arbitration Act (FAA) governs interpretation and enforcement.

Class Waiver & Jury Waiver: You and Sifnos waive class actions and jury trial. Disputes must be brought individually.

30-Day Opt-Out: You may opt out of arbitration by sending written notice to legal@sifnos.ai within 30 days of first accepting these Terms; include your name, the email/phone associated with your account, and a statement that you opt out.

For users outside the U.S., local mandatory consumer law may grant additional rights and local courts may have jurisdiction where required.

15. Termination & Suspension

You may stop using the Service at any time. We may suspend or terminate access with or without notice for breach, security risk, non-payment, legal risk, or discontinuation of the Service. Upon termination, your license to use the Service ends. Sections intended to survive (including 5–7 and 10–15) survive termination. We handle your data per Section 5 and applicable law.

16. Miscellaneous

Changes to Terms: We may update these Terms. Material changes will be notified (email, in-app, SMS) with an updated effective date. Continued use after the effective date constitutes acceptance. Where required by law (e.g., expanded data uses/model training), we will obtain renewed consent.

Notices: We may notify you by email, in-app messages, SMS, or by posting on our site.

Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in a merger/acquisition.

Export/Sanctions: Do not use the Service in violation of export control or sanctions laws.

Mobile App Stores: If you download from Apple/Google, their standard terms apply (e.g., Apple/Google are not responsible for support/liability).

Entire Agreement; Severability; Waiver: These Terms plus the Privacy Policy are the entire agreement. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.

Governing Language: These Terms are drafted in English. If these Terms are translated into any other language, the English-language version shall control in the event of any conflict or inconsistency. Any translated version is provided for convenience only.
